Aviva plc has finalised an agreement to acquire the remaining 26 per cent shareholding in Aviva Life Insurance Company India Limited from its long-standing partner, Dabur Invest Corporation. This corporate buyout formally concludes a joint venture that commenced in 2001, effectively ending a quarter-century alliance between the London-headquartered financial services giant and the Indian conglomerate. By purchasing the minority stake, Aviva secures absolute ownership of the Indian insurer, granting the firm unhindered authority over its regional strategic direction and long-term expansion plans.

The Evolution of Foreign Direct Investment

The acquisition directly capitalises on sweeping regulatory reforms introduced by the Indian government designed to attract global capital into the domestic financial sector. Historically, New Delhi maintained stringent caps on foreign direct investment (FDI) within the insurance market to shield local enterprises and prevent capital flight. These barriers have been systematically dismantled over the past decade. Statutory limits were incrementally raised from 26 per cent to 49 per cent, and subsequently to 74 per cent, before authorities finally permitted international entities to hold 100 per cent equity in specific local firms. Aviva’s ownership trajectory mirrors this legislative evolution, having previously increased its equity position in 2016 and 2022 immediately following these statutory changes.

For Dabur Invest Corporation, the financial arm of a conglomerate predominantly recognised for its fast-moving consumer goods (FMCG), divesting its financial services portfolio aligns with a broader corporate strategy to concentrate on its core manufacturing and retail businesses. Conversely, the acquisition reflects Aviva’s strategic intent to consolidate operations in markets where it can exercise absolute governance. Representatives from Aviva confirmed that the immediate financial impact of this final transaction is not material to the group’s overarching balance sheet, framing the move instead as a critical structural enhancement.
